Terms of Service

The service provider is:

These terms apply to every offer, quote, agreement and use of our services, unless we agree otherwise in writing. A customer’s own purchasing or other terms do not apply unless we have expressly accepted them in writing.

We provide three kinds of services:

• Custom software: websites, applications, integrations and automation, built on the basis of a quote or order confirmation that states the scope, the schedule and the price.
• Hosting and management: running, monitoring, backing up and maintaining software on our own servers or servers we manage.
• The Discord bot: a bot for Discord servers with a dashboard at bots.jpmetamods.com, through which a server administrator sets up verification, moderation, tickets, roles, messages and game server panels, among other things. The bot is offered as a subscription with several plans; what a plan includes is shown on the dashboard.

For custom software and management the arrangements in the quote or order confirmation apply in addition. Where those arrangements conflict with these terms, the specific arrangements prevail.

You sign in to the dashboard with your Discord account. You can only manage servers of which you are an administrator or the owner in Discord. You are responsible for what happens with your access, including when someone else uses your account. Tell us at once if you suspect your access has been misused.

Whoever operates the dashboard for a server declares to be authorised to do so on behalf of that server’s owner.

The bot runs on Discord’s platform. Discord’s Terms of Service and Developer Policy apply alongside these terms; what Discord prohibits, we prohibit too. If Discord changes its platform or policies, we may adapt the bot accordingly.

When added, the bot asks only for the permissions its features need and never for administrator rights. The invite link shows which permissions those are.

If you choose the “custom bot” option, our software runs in your server under a Discord application that you create and manage. You remain responsible for that application and its token; we store the token encrypted and use it only to run the bot for your server. You can switch the option off or have the token forgotten at any time.

You do not use our services to:

• break laws, the rights of others or Discord’s rules, or help others do so;
• spread spam, deception, harassment, hate or unsolicited messages;
• circumvent security, overload our systems or those of others, or seek access to data not meant for you;
• copy, imitate, decompile or resell the software, unless the law expressly allows it or we give written permission.

In case of abuse we may suspend a server’s or a user’s access at once. We let you know as soon as possible and restore access once the abuse has stopped, unless it is serious enough for us to end the agreement.

The Discord bot has a free plan and paid plans. What each plan includes and what it costs is shown on the dashboard at the moment you subscribe. Paid plans run per month and are paid monthly in advance, unless stated otherwise. Prices exclude VAT unless indicated otherwise.

We may change prices. We announce a price change for a running plan at least 30 days in advance; if you do not accept it, you can cancel the plan before the change takes effect. If a payment fails, the server falls back to the free plan’s features after a reminder; your settings are kept.

For custom software and management the price in the quote applies. Additional work you request is confirmed beforehand. Invoices are due within 14 days unless the invoice states another term.

We do our best to keep our services continuously available but do not guarantee uninterrupted operation. Maintenance that affects the service is announced in advance where possible and scheduled outside busy hours. Outages at Discord, hosting providers or internet providers are beyond our control.

We may add, change or replace features. A feature we remove that is part of a paid plan is announced at least 30 days in advance.

How we process personal data is described in our privacy statement. For the data of a Discord server (members, messages, settings) the administrator of that server is responsible; we process that data on their instructions and only to deliver the service.

Settings, tickets and logs are kept for as long as the bot is in the server. If you remove the bot or end the plan, we delete that server’s data within 30 days, except what we are legally required to keep. Secrets you entrust to us, such as the token of a custom bot or a key to a game server, are stored encrypted and used only for the purpose you gave them for.

The software, the dashboard, the bot and everything that belongs to them remain the property of JP Metamods B.V. or our licensors. You receive a non-exclusive, non-transferable right to use the service for as long as the agreement runs. Your own content, name and brand remain yours; you only give us the right to show them where needed to deliver the service.

For custom software the quote sets out what becomes yours on delivery and what remains ours. Without such an arrangement you receive a right to use the delivered software for the purpose it was built for.

We are not liable for indirect damage, such as lost profit, loss of data caused outside our systems, reputational damage or damage from interruptions at Discord or other third parties.

Our liability for direct damage is limited per event to the amount you paid us for the service concerned in the twelve months before the event, and for a free service to 500 euros. These limitations do not apply in case of intent or deliberate recklessness on our part.

You indemnify us against third-party claims arising from your use of the service in breach of these terms or Discord’s rules.

A plan for the Discord bot runs per month and can be cancelled at any time from the dashboard; it ends at the end of the paid period. Removing the bot from your server also counts as cancellation. We can cancel a plan with 30 days’ notice, and at once in case of abuse or non-payment after a reminder.

Orders for custom software and management end according to the arrangements in the quote. Provisions that by their nature continue (intellectual property, liability, confidentiality) survive termination.

We may amend these terms. A material change is announced at least 30 days in advance on the dashboard or by email. If you keep using the service afterwards, the new terms apply. The current version is always available on this page.

Dutch law applies to these terms and to every agreement with us. In case of a dispute we first look for a solution together. If that fails, the court of Limburg, the Netherlands, has jurisdiction, unless mandatory law designates another court. Consumers keep the statutory rights that cannot be set aside.
